Service Agreement

This agreement is between you ("Client") and Indigo Orca LLC ("we," "us"), a New Mexico limited liability company. By paying for a service or submitting an intake form, you agree to these terms. Plain English on purpose — if anything here is unclear, ask us before you pay: brian@indigoorca.com.

1. What we do

We provide business formation support services for non-resident founders, including:

LLC formation ($297 + state fees): preparing and filing your Articles of Organization with the state you choose, registered-agent guidance, and EIN service.
EIN service ($69): preparing and filing Form SS-4 with the IRS as a foreign applicant, following up, and delivering your EIN.
Strategy call ($49): a 30-minute one-on-one consultation about formation, EIN, and banking.
Annual compliance ($149/year + state fees): reminders and filing assistance for your LLC's annual obligations.

2. What we don't do

We are not lawyers, and this is not legal advice. We prepare and file paperwork based on the information you give us. We do not advise on tax strategy, choice of entity beyond general information, immigration consequences, or whether a US LLC is right for your situation. If you need legal or tax advice, hire a licensed attorney or tax professional in the relevant jurisdiction.

3. What you do

Give us accurate, complete information. Filings are made on the basis of what you tell us — mistakes in your info are your responsibility to catch.
Respond to our questions promptly. Delays on your side delay your filing.
Pay state and government fees separately — they're set by the state/IRS, not us, and they change.
Use a valid email address — that's how we reach you.

4. Timing

Any timelines we mention are estimates, not guarantees. State offices and the IRS move at their own pace — especially for foreign applicants, where EIN processing can take several weeks. We file promptly on our side and keep you posted, but we can't control government processing times.

5. Money and refunds

Before we file anything: full refund of our service fee, no questions asked. Email brian@indigoorca.com.
After we've filed with the state or IRS: our service fee is earned and non-refundable — the work is done and government fees are spent.
State and government fees are never refundable by us (we don't keep them).
Strategy calls: refundable if you cancel at least 24 hours ahead; otherwise the fee is earned.
Annual plan: cancel anytime; no partial-year refunds.

6. Liability

We do careful work, but filing paperwork involves government agencies we don't control. To the maximum extent allowed by law, our total liability for any claim is limited to the amount you paid us for the service in question. We're not liable for indirect losses — lost profits, missed opportunities, or problems caused by inaccurate information you provided or by government delays, rejections, or errors.

7. Your information

We use the information you give us only to perform the services you bought — filings, correspondence, and keeping you updated. We don't sell your data. Intake details are transmitted securely and stored only as long as needed to serve you.

8. Changes and cancellation

You can cancel the annual plan anytime by emailing us. We can refuse or stop service (with a refund of unearned fees) if information provided is false, or if a request would require us to break the law.

9. Governing law

This agreement is governed by the laws of the State of New Mexico. Any dispute will be handled in the state or federal courts located in New Mexico, unless we both agree otherwise in writing.

10. The whole deal

This page, plus whatever service description was on the site when you paid, is the entire agreement. If any part of this turns out to be unenforceable, the rest still stands.
